Terms and Conditions

Certiplex Corporation furnishes vending apparatus and vending start-up packages for the purpose of assisting individuals in independently establishing and operating vending routes.

Certiplex Corporation provides educational materials, supplies, and general business guidance only.

Certiplex Corporation is not affiliated with any charity or non-profit organization.

Any agreements, royalties, fees, donations, or obligations between the Buyer and any third party, including charities, are solely the responsibility of the Buyer.

Certiplex Corporation does not control and is not liable for such relationships.

Certiplex Corporation is a for-profit entity and does not accept donations.

Certiplex Corporation makes no guarantees, representations, or warranties regarding earnings, placement success, or business results.

Any estimates are illustrative only.

 

All Sales Final Policy


ALL SALES ARE FINAL. NO REFUNDS OR CANCELLATIONS WILL BE PROVIDED, EXCEPT AS EXPRESSLY STATED HEREIN OR AS REQUIRED BY APPLICABLE LAW.

Due to the nature of the products and services provided, including proprietary, custom, and intangible materials, purchases are non-refundable once processed and/or delivered.

By completing a purchase, Buyer acknowledges that:
  • The purchase includes proprietary and custom-developed materials
  • Such materials are not returnable once delivered or accessed
  • Business outcomes are not guaranteed


Payment Disputes and Chargebacks


Buyer agrees to contact Certiplex Corporation directly to resolve any issue prior to initiating a payment dispute.

Initiating a chargeback or payment dispute after delivery of products or access to materials may constitute a breach of this agreement if done in bad faith.

Certiplex Corporation reserves the right to:
  • Present evidence of delivery, access, and acceptance of these Terms
  • Contest any dispute with supporting documentation
  • Pursue recovery of funds, fees, and associated costs to the extent permitted by law in cases of fraudulent or bad-faith disputes


Limited Physical Goods Policy


Certiplex Corporation will replace any physical component that is received damaged or non-functional.

Unused physical items may be returned only if:
  • A return authorization number (R.A.N.) is issued
  • Return is requested within seven (7) days of receipt
  • Items are unused and in original condition

All other materials are non-returnable.


Proprietary Materials and Intellectual Property


All materials provided, including but not limited to the Quick Start Guide, training materials, strategies, and custom location lists, are proprietary intellectual property.

Buyer agrees not to copy, reproduce, distribute, share, or resell any materials.

Unauthorized use may result in legal action.

 

Custom Location Lists (Strict Policy)

 

Custom location lists are proprietary, confidential, and developed using internal criteria and third-party data.

These lists are non-returnable and non-refundable once delivered.

Certiplex Corporation does not guarantee placement success, acceptance by locations, or any business outcome.

Any review, revision, or replacement of locations is not a Buyer right and may be offered solely at the discretion of Certiplex Corporation.

If Certiplex Corporation elects to review a request, it must be submitted within thirty (30) days of delivery.

Failure to do so constitutes acceptance of the product as delivered.

 

Informational Disclaimer


All materials are provided for informational purposes only.

Certiplex Corporation makes no warranties regarding accuracy, completeness, or applicability and does not provide legal, financial, or professional advice.

 

Limitation of Liability


To the fullest extent permitted by applicable law, Certiplex Corporation shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of its products or services.

Nothing in this section limits liability where such limitation is prohibited by law.

 

Legal Fees and Governing Law


This agreement shall be governed by the laws of the State of California, without regard to conflict of law principles.

In any dispute arising from this agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs, to the extent permitted by applicable law.

 

Acceptance of Terms


By making a purchase, Buyer confirms they have read, understood, and agreed to these Terms and Conditions in full.
